AUTHORIZATION AND RELEASE

            For valuable consideration received, the undersigned hereby gives Cengage Learning  a sole and exclusive, royalty-free, perpetual, worldwide license, right and permission with respect to (i) the photographs and/or other materials described in Exhibit A (the “Materials”), and (ii) the use of the undersigned’s name, voice, likeness, picture (whether still or motion) or any other representation of the undersigned (collectively, referred to herein as the “Representation”) in connection with For Our Students and in all future revisions, editions, and versions thereof, and in any other products and services of Cengage Learning, its licensees, and their respective affiliates, in all languages and formats for distribution throughout the world, in all media or other forms of copying, recording or transmission now known or hereafter devised, including without limitation print and electronic, and in materials promoting any such products or services.  This permission in no way restricts republication of Materials in the form submitted to Cengage Learning by the undersigned or others authorized by the undersigned; provided that the undersigned may not publish the Material as follows:

Cengage Learning shall have the right to edit the Materials as Cengage Learning deems appropriate for its use.

The undersigned agrees that he/she will not receive any money, remuneration or compensation or any reimbursement of any costs or expenses.

The undersigned hereby releases and discharges Cengage Learning, and its affiliates, trustees, officers, employees, agents, representatives, licensees, and assigns from any and all claims and demands arising out of or in connection with the use of the Representation and/or the exercise of any of any of the rights or authorizations granted hereunder.  The undersigned represents and warrants that he/she is 18 years of age (or has obtained the signature of parent or guardian if under the age of 18) and has the right to grant the license, rights and permissions granted hereunder without violation of any third party rights whatsoever.
